You may use the Services only if you can form a legally binding contract with Predicta under applicable law. By using the Services, you represent and warrant that you:

• are at least 18 years of age (or the age of majority in your jurisdiction);
• have full legal capacity to enter into and perform your obligations under these Terms;
• are not barred from receiving the Services under the laws of the United States or any other applicable jurisdiction; and
• will comply with all applicable laws, regulations, and these Terms when accessing or using the Services.

Predicta is a modern business intelligence and predictive analytics platform that helps organizations turn data into informed decisions. Our Services include, but are not limited to:

• predictive analytics, forecasting, and statistical modeling;
• interactive dashboards, visualizations, and management reports;
• data integration, transformation, and decision-support workflows;
• APIs, connectors, and embedded analytics components; and
• related professional, advisory, and support services.

We continuously improve the Services and may add, modify, or discontinue features at our discretion. Where changes materially affect paid Services, we will provide reasonable notice in accordance with the applicable subscription agreement.

When using the Services, you agree to:

• provide accurate, current, and complete information when registering or submitting data;
• maintain the confidentiality of your account credentials and restrict access to authorized personnel;
• be responsible for all activity that occurs under your account;
• use the Services only for lawful purposes and in accordance with these Terms;
• obtain all necessary rights, consents, and permissions for any data you upload, submit, or process through the Services; and
• promptly notify Predicta of any unauthorized use of your account or any other breach of security.

All content, materials, software, source code, algorithms, models, dashboards, reports, designs, graphics, text, logos, trademarks, trade names, and other intellectual property made available through the Services (collectively, the "Predicta IP") are the exclusive property of Predicta or its licensors and are protected by intellectual property and other laws.

Subject to your compliance with these Terms, Predicta grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes only. Nothing in these Terms transfers any ownership rights in the Predicta IP to you.

You may not copy, modify, distribute, sell, lease, publicly display, create derivative works of, reverse engineer, decompile, or otherwise attempt to derive the source code or underlying ideas of the Services, except to the extent expressly permitted by applicable law.

You agree that you will not, and will not permit any third party to:

• use the Services for any unlawful, fraudulent, deceptive, or harmful purpose;
• upload, transmit, or distribute viruses, malware, ransomware, or any other malicious code;
• scrape, crawl, harvest, or otherwise extract data from the Services using automated means without our prior written consent;
• attempt to gain unauthorized access to any account, system, network, or data;
• interfere with or disrupt the integrity, performance, or security of the Services;
• circumvent any access controls, usage limits, or technical protection measures;
• use the Services to develop a competing product or to benchmark performance without our written consent; or
• exploit the Services for unauthorized commercial purposes, including resale or sublicensing.

Predicta may investigate and take appropriate legal action against anyone who, in Predicta's sole discretion, violates this Acceptable Use Policy, including suspending or terminating access without notice.

Your privacy is important to us. Our collection, use, and processing of Personal Data in connection with the Services is described in our Privacy Notice, which is incorporated into these Terms by reference. By using the Services, you acknowledge and agree to the data handling practices described in the Privacy Notice.

You are responsible for ensuring that any Personal Data you submit to the Services has been collected and may be processed in accordance with applicable Data Protection Laws.

The Services may contain links to, or integrations with, third-party websites, products, or services that are not owned or controlled by Predicta. Your use of such third-party services is governed solely by the terms and privacy policies of those third parties.

Predicta is not responsible for, and does not endorse, the content, accuracy, practices, or availability of any third-party services. We encourage you to review the terms and policies of any third-party services you choose to use.

To the maximum extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis, with all faults and without warranty of any kind. Predicta expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Predicta does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any forecasts, predictions, models, or analytical outputs will be accurate, reliable, or suitable for any particular decision. Any reliance you place on such outputs is strictly at your own risk.

To the maximum extent permitted by applicable law, in no event shall Predicta, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, revenue, data, goodwill, business opportunity, or other intangible losses, arising out of or in connection with your use of, or inability to use, the Services, even if Predicta has been advised of the possibility of such damages.

Predicta's total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amounts actually paid by you to Predicta for the Services in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred U.S. dollars (USD $100), whichever is greater.

You agree to defend, indemnify, and hold harmless Predicta and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• your access to or use of the Services;
• your violation of these Terms or any applicable law or regulation;
• your infringement of any intellectual property, privacy, or other right of any third party; or
• any content or data you submit, upload, or otherwise make available through the Services.

Predicta may, in its sole discretion and without prior notice, suspend, restrict, or terminate your access to all or part of the Services if we reasonably believe that you have violated these Terms, applicable law, or that your use poses a security, legal, or operational risk to Predicta or its users.

You may discontinue using the Services at any time. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation intellectual property rights, disclaimers, limitations of liability, indemnification, and governing law.

We may update or modify these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. The updated Terms will be effective when posted on this page, and the "Last Updated" date above will be revised accordingly.

Your continued use of the Services after the effective date of any update constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of the State of Princeton NJ, United States, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Princeton NJ, and you hereby consent to the personal jurisdiction and venue of those courts.
